Accessing forms
The forms C8, C8A, C12, and C13 will only be accepted for lodgement via the online
co-operative portal.
If you haven’t previously registered, please do so via the co-operative portal link below to lodge these forms and make payment.
Online lodgement
Our co-operative portal is available to lodge some co-operative forms and pay lodgement fees.
There are four co-operative forms now available for lodgement via the co-operative portal:
Form C8 – Notice of change of details of co-operative officers
This form is used to notify an appointment/cessation/change of secretary, directors or chief executive officer.
Form C8A - Notice of change of registered office address
This form is used to notify a change of registered or postal address.
Form C12 – Annual return – small co-operative
A small co-operative must lodge an annual return within five months after the end of its financial year.
Form C13 – Annual report – large co-operative
A large co-operative must lodge an annual report, together with required documents, within five months after the end of its financial year.
Lodgement fees
Lodgement fees for printed forms can be made via the online payment portal or by cheque at a Service NSW centre.
Lodgement
Completed printed forms, along with a copy of the lodgement fees receipt, can be lodged by:
- email to [email protected] with the subject line of the full name of the co-operative and its registration number
- post to PO Box 22 Bathurst NSW 2795
- in person at any Service NSW centre.
From 1 January 2022 we will no longer accept lodgement fees by cheque for cooperative forms submitted by post. If you wish to pay by cheque, please visit a Service NSW centre.

Prescribed forms
Prescribed forms as set out in Schedule 4 of the Co-operatives National Regulation are:
Form 1 – Compulsory acquisition notice
This form is used to advise dissenting shareholders when their shares are to be compulsorily acquired (section 432(1) of the Co-operatives National Law).

Form 2 – Notice to remaining shareholder
This form is used to advise remaining shareholders they may require an acquisition of their shares (section 434(1)(a) of the Co-operatives National Law).

Approved forms
Form C1 – Application to approve co-operative rules and formation disclosure statement
This form is used to obtain approval of the rules and disclosure statement prior to the formation meeting.

Form C2 – Application to approve disclosure statement for merger of co-operatives
This form is used to obtain approval of the proposed disclosure statement to be provided to members where two or more co-operatives are proposing to merge.

Form C3 – Application to approve disclosure statement for transfer of engagements
This form is used to obtain approval of the proposed disclosure statement to be provided to members where a total or partial transfer of engagements is proposed.

Form C4 – Application to register a co-operative
This form is used to register a co-operative following the formation meeting.

Form C5 – Application to register an existing corporation as a co-operative
This form is used by an existing corporation seeking to transfer its incorporation to a co-operative.

Form C6 – Application to approve merger of co-operatives
This form is used to obtain approval to merge two or more co-operatives.

Form C7 – Application to approve transfer of engagements
This form is used to obtain approval to transfer engagements.

This form is used to obtain approval for a proposed new name before being passed by special resolution.

This form is used to register an amendment to the rules of the co-operative. The application must be made within 28 days of the amendment being passed.

Form C11 – Application for prior approval of rule amendment(s)
This form is used to obtain prior approval to amending rules concerning active membership, conversion of a non-distributing co-operative to a distributing co-operative and rules restricting voting rights in particular co-operatives.

Form C14 – Notice of resignation, removal or cessation of auditor
This form is used to notify the resignation, removal or cessation of an auditor.

Form C15 – Application for extension or shortening of time
This form is used to obtain approval for an extension or shortening of specified time frames in which to undertake or complete required activities.

Form C16 – Application to Approve Statement/Disclosure Statement
This form is used to apply for approval of:
- a disclosure statement for a special postal ballot (section 248 of the Co-operatives National Law (the CNL)
- a Statement for the proposed issue of co-operative capital units (section 350)
- an explanatory statement explaining a proposed compromise or arrangement (Part 4.4).

This form is used to apply for an approval, consent, exemption, order or certificate as specified on the form.
